Transfer Of Ip Rights Agreement Template

5. Insurance and Warranties. The assignee represents and warrants to the buyer that: the assignee exclusively owns all rights, title and interest in the assigned property; The assignee has not granted and will not grant licenses or other rights in the assigned property to third parties; the assigned ownership is exempt from rights of pledge, en charges, security interest and limitation of transmission; To the knowledge of the assignor, the intellectual property transferred as part of the assigned property does not violate the intellectual property rights of third parties; and there is no action, investigation, claim or proceeding pending or threatened with respect to the transferred property. This agreement on the transfer of intellectual property defines the entire agreement and understanding between the company and myself regarding the subject matter contained therein and brings together all the prior discussions between us. No modification or supplement to this Agreement or any waiver of the rights conferred by this Agreement shall be effective unless signed in writing by the party to be invoiced. Any subsequent modification or modification of my obligations, salary or remuneration has no influence on the validity or extent of this agreement. In order to ensure that the assignee becomes the new owner of the intellectual property rights, it may be necessary to register the rights with the Intellectual Property Office. It is important to ensure that the name of the transferee appears on all registered documents and completes all necessary registrations. By releasing the rights, the assignee relinquisits any control over what happens to the work. The person who obtains the rights to the work ("the buyer") can then do anything with it, including copying, distributing, publishing or whatever they want. This may be the case, for example, when a graphic designer (transferor) creates a logo for a customer (buyer) and does not intend to reuse the logo. You can "assign" the logo to the customer so that the customer can use it as they wish, including editing, printing on different products and distributing it to anyone they want. This document can be used if an artist wants to disclose the rights to something they have created....
